Terms of Service
Welcome to Amados Strategies. Amados Strategies is a growth marketing and go-to-market agency and a brand of Ammdadl LLC, a Delaware limited liability company ("Ammdadl LLC", "we", "us"). These Terms of Service ("Terms") govern your access to and use of amadosstrategies.com (the "Website") and our services (the "Services"). By using the Website or engaging our Services, you agree to these Terms. If you do not agree, please do not use them.
1. Definitions
- User or you: any individual or entity that accesses the Website or uses the Services.
- Client: a User who has engaged us to provide Services.
- Content: all materials on the Website, including text, graphics, logos, images, video and software.
- Services: the growth marketing services we provide, including growth and go-to-market strategy, paid advertising and media buying, creative strategy and production, conversion rate optimization, email and lifecycle marketing, and related services.
2. Our Services
We provide growth marketing services to help businesses grow their revenue and online presence. The scope, deliverables, fees and timelines of any engagement are set out in a proposal, order confirmation or written agreement with you.
Prices shown on the Website, including package prices and the creative order calculator, are for information. A creative order or package becomes binding only once we confirm its scope in writing. Advertising spend is separate from our fees and is paid by the Client directly to the advertising platforms.
We may modify or discontinue any part of the Services and will give notice where reasonably possible. Services may be subject to limitations, such as geographic or platform restrictions.
3. Contracts take priority
Clients must follow the terms of their contracts and written agreements with us. If these Terms conflict with a Client's contract, the contract prevails. If the contract does not address a point covered here, these Terms apply. If a contract includes its own dispute resolution clause, that clause replaces Section 12 for that Client.
4. No guaranteed results
We work hard to deliver high-quality results, but marketing performance depends on many factors outside our control, including your product, pricing, market conditions and advertising platforms. Unless expressly agreed in a separate written contract, we do not guarantee any specific outcome, such as revenue, return on ad spend, conversion rates or growth. Results described on the Website reflect past work and are not a promise of future results.
5. Your responsibilities
- Provide accurate information and the access, assets and approvals we need to deliver the Services.
- Make sure you have the rights to any materials you give us, such as logos, product images and customer data.
- Comply with all laws that apply to your business and to your use of the Services, including advertising, privacy and consumer protection laws.
6. Use of the Website
You may browse the Website and use its features for lawful purposes. You may not:
- Infringe anyone's intellectual property or other rights
- Post or send offensive, discriminatory, defamatory or unlawful material
- Interfere with the Website's operation or security, or try to gain unauthorized access to our systems or data
- Copy, distribute or modify Website Content without our written permission
7. Intellectual property
All Content on the Website is owned by or licensed to Ammdadl LLC and is protected by copyright and other intellectual property laws. You may not use it for commercial purposes without our written permission. Ownership of deliverables created for Clients is governed by the Client's contract.
8. Third-party services
We use third-party platforms and tools to deliver the Services, such as advertising platforms, analytics, email and scheduling tools. We are not responsible for their actions, performance, availability or policy changes, and your use of them is subject to their own terms. Integrations may change or end at any time, and we will tell Clients about significant changes that affect their Services.
We may share data with companies in the same corporate group as Ammdadl LLC to improve the quality and delivery of our Services, with appropriate protections and in line with applicable law and our Privacy Policy.
9. Disclaimer of warranties
The Website, its Content and the Services are provided "as is" and "as available", without warranties of any kind, express or implied, to the fullest extent permitted by law. We do not guarantee that the information on the Website is complete, accurate or current.
10. Limitation of liability
To the fullest extent permitted by law, Ammdadl LLC, its affiliates, directors, employees, agents and licensors will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits or revenue, arising from your use of, or inability to use, the Website or the Services, whether based on contract, tort (including negligence) or otherwise, even if we were told such damages were possible.
11. Indemnification
You agree to indemnify and hold harmless Ammdadl LLC and its affiliates, officers, employees and agents from any claim by a third party arising from your breach of these Terms, your violation of any law or third-party right, materials you provide to us, or your use of third-party services in connection with our Services.
12. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law rules. Any dispute arising from or relating to these Terms or the Services will be finally settled by arbitration in New York, United States, in English, under the Commercial Arbitration Rules of the American Arbitration Association then in effect, before one arbitrator experienced in commercial contract disputes.
13. Termination
We may suspend or end your access to the Website or the Services at any time, with or without notice, subject to the terms of any Client contract. We may end Services without liability if a User engages in harassment, spam, illegal activity, the spread of political messaging, or the promotion of illegal or controversial content that could harm the reputation or interests of Ammdadl LLC.
14. Privacy and cookies
Our Privacy Policy explains how we collect, use and protect personal information, including our use of cookies and similar technologies. It is part of these Terms.
15. Changes to these Terms
We may update these Terms at any time. Changes take effect when posted on this page. Your continued use of the Website or Services after an update means you accept the new Terms.
16. General
- Entire agreement: these Terms, together with any Client contract and our Privacy Policy, are the entire agreement between you and Ammdadl LLC about their subject.
- Severability: if any provision is found invalid or unenforceable, the rest remain in effect.
- No waiver: our failure to enforce a provision is not a waiver of it.
- Assignment: you may not assign any contract with Ammdadl LLC without our written consent.
